Terms & Conditions of Sale
1.1 General
These Terms and Conditions ("Terms") apply to all quotations, orders, and sales by Semiochem International (a company incorporated in the Republic of South Africa) ("Seller"), to any purchaser ("Buyer"). By placing an order, the Buyer accepts these Terms. Any differing terms proposed by Buyer shall not apply unless expressly agreed in writing by Seller.
1.2 Products & Use
Seller specialises in the supply of semiochemical products (e.g., pheromones, kairomones) intended for monitoring, research, and pest management purposes. Products are sold in bulk and are strictly intended for professional, agricultural, scientific or industrial use. They are not intended for direct human or animal consumption.
1.3 Quotations & Orders
All quotations are non-binding, valid for 30 days unless otherwise stated, and subject to product availability. Orders are only binding upon receipt of a purchase order or signed proforma invoice. Minimum order quantities (MOQs) may apply and will be communicated by the Seller.
1.4 Prices & Payment
All prices are exclusive of VAT, duties, and shipping or freight charges, unless expressly stated otherwise. Payment terms are as specified on the invoice (e.g., 50% deposit on order, balance prior to dispatch / 30 days from invoice date). Payments must be made in the Currency Stated on the Proforma Invoice unless otherwise agreed. If Buyer fails to meet payment obligations, Seller may suspend deliveries or withhold further performance.
1.5 Delivery, Shipping & Risk
All deliveries are made Ex Works (EXW) Seller’s warehouse (Incoterms® 2020), unless otherwise agreed in writing. Shipping is always for the Buyer’s account. Buyer is responsible for arranging and paying for transport, insurance, customs clearance, and all costs associated with delivery beyond Seller’s warehouse. Risk of loss or damage passes to Buyer upon collection by Buyer’s nominated carrier. Seller will, upon request, assist in facilitating shipping arrangements, but this does not transfer liability for costs or risks, which remain with Buyer.
1.6 Quality & Warranty
Seller warrants that products supplied conform to agreed specifications at the time of dispatch. Due to the specialised nature of semiochemicals, Seller does not warrant performance under field conditions, as effectiveness depends on many external factors (e.g., climate, pest pressure, application methods). Buyer shall inspect products upon receipt and notify Seller in writing of any defects or discrepancies within 7 days. Failing this, products are deemed accepted.
1.7 Liability
Seller’s liability is limited to replacement of defective products or refund of the purchase price, at Seller’s discretion. Seller shall not be liable for indirect, consequential or special damages, including loss of profits or business. In all cases, Seller’s maximum liability shall not exceed the invoiced value of the relevant products.
1.8 Intellectual Property
All trademarks, trade names, formulas, and other intellectual property remain the sole property of Seller or its licensors. Buyer may not reverse-engineer, replicate or infringe any proprietary technologies or formulations.
1.9 Data Privacy
Seller will process Buyer’s data in accordance with the Protection of Personal Information Act (POPIA). Buyer consents to Seller collecting, storing and using its information for the purposes of fulfilling orders, complying with legal obligations, and marketing similar products (subject to opting out).
1.10 Force Majeure
Seller shall not be liable for any delay or failure due to causes beyond its reasonable control, including acts of God, strikes, pandemics, or transport disruptions.
1.11 Storage, Colllection & Abandoned Goods
The client is responsible for collecting their fully paid shipment within [X] working days from the date on which the goods are made available for collection.
Should the shipment not be collected within this period, warehousing and handling fees will be charged from [Y] working days onward until collection, at rates determined by Semiochem International or the third-party storage provider.
2. Cancelling Orders Policy
2.1 Semiochem International reserves the right to refuse processing of payment for any order and/or to cancel any purchase, partially or completely, with notice given to you.
If you cancel an order after payment has been made, Semiochem International will be liable only for reimbursing the USD/EURO/AUD value paid, provided that the cancellation is submitted within 12 hours of the payment being made. To effect such cancellation, you must contact the help desk at admin@semiochem.com.
2.3 Should you wish to cancel an order this can only be done if payment has not been made.
3. Returns Policy
3.1 Should you not be completely satisfied with your purchase solely due to having received the incorrect item as a result of an error by Semiochem International, you must notify Semiochem International in writing within 7 (seven) working days of receipt of the items by contacting support@semiochem.com. Failure to notify us within this timeframe may results in the return request being declined.
3.2 Semiochem International does not arrange, manage, or provide couriering or shipping services. All goods are transported entirely at the client’s risk, and Semiochem International accepts no liability whatsoever for loss, damage, or delay occurring during transit.
Damage in transit does not constitute a valid ground for return, replacement, or refund.
3.3 To request a return, the client must submit a written return request within 7 (seven) working days of receipt of the shipment at the client’s depot or physical address as specified on the approved quote.
All return requests must be accompanied by valid proof of delivery, to be supplied by the client.
3.4 All return requests are subject to an internal investigation by Semiochem International. No return, replacement, or remedy will be authorised until such investigation has been completed and liability has been established.
3.5 Where it is confirmed that Semiochem International supplied incorrect items, Semiochem International reserves the right, at its sole discretion, to either:
Instruct the client to discard the incorrect items in a compliant manner; or
Arrange and cover the cost of return shipment of the incorrect items.
3.6 All semiochemical-based products are strictly exempt from returns, except where otherwise required by applicable law and for scenarios that fall within clause 3 .1 above.

4. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved amicably, failing which submitted to the exclusive jurisdiction of the courts of South Africa.
5. Miscellaneous
If any provision of these Terms is held invalid, the remaining provisions remain in force. No waiver of rights by Seller shall be effective unless in writing. These Terms, together with any agreed quotations or order confirmations, constitute the entire agreement.
